1. Acceptance of Terms

By accessing or using the Quick Template ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any provision of these terms, you must discontinue use of the Service immediately.

These terms constitute a legally binding agreement between you (either as an individual or on behalf of your agency, business, or organization) and our company. Your continued use of the Service after any modifications to these terms constitutes your acceptance of such changes.

2. Service Description

Our Service provides AI-powered social media template generation specifically designed for agencies, marketing teams, and professional content creators who prioritize operational efficiency and streamlined workflows.

2.1 Platform Capabilities

The Service includes but is not limited to:

• AI-powered social media template generation for multiple platforms (Instagram, Facebook, Twitter/X, LinkedIn, Pinterest)
• Multiple quality tiers (Low, Medium, High) with varying credit costs
• Template customization through text prompts and style selections
• Generation history and template library management
• Download capabilities for generated templates
• Credit-based usage system integrated with WooCommerce

2.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Generation times typically range from 10-30 seconds but may vary based on demand, quality settings, and third-party API performance. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are creating an account on behalf of an agency or business, you represent and warrant that you have the authority to bind that organization to these terms.

3.3 Account Security

You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security. For team or agency accounts, you are responsible for managing user access and ensuring compliance with these terms by all team members.

4. Credits System & Billing

4.1 Credits-Based Usage

The Service operates on a credit-based system. Each template generation consumes credits based on the selected quality tier:

• Low Quality: 1 credit per generation (fast, budget-friendly)
• Medium Quality: 2 credits per generation (recommended balance)
• High Quality: 5 credits per generation (premium detail)

4.2 Purchasing Credits

Credits can be purchased through our WooCommerce-integrated shop. All credit purchases are non-refundable except as required by law. Credits do not expire unless explicitly stated in your purchase terms or subscription plan.

4.3 Subscription Plans

Monthly subscription plans may include automatic credit resets on renewal. Subscription fees are billed on a recurring basis and will automatically renew unless you cancel prior to the renewal date. Cancellation takes effect at the end of the current billing period.

4.4 Payment Terms

All fees are stated in U.S. dollars. You must provide a valid payment method to purchase credits or subscriptions. By providing payment information, you authorize us to charge all fees incurred through your account.

4.5 Price Changes

We reserve the right to modify our pricing with at least 30 days' advance notice to existing customers. Continued use of the Service after price changes take effect constitutes acceptance of the new pricing.

4.6 Credit Adjustments

In cases of technical errors resulting in failed generations where credits were deducted, we will restore the affected credits to your account upon verification. Contact support with details of the failed generation for resolution.

5. License & Usage Rights

5.1 License Grant

Subject to your compliance with these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes.

5.2 Generated Content Ownership

You retain ownership rights to templates you generate using the Service. However, you acknowledge that AI-generated content may not be copyrightable under current law. You grant us a worldwide, royalty-free license to store and display your generations as necessary to provide the Service.

5.3 Commercial Use

Generated templates may be used for commercial purposes, including client work, social media campaigns, and marketing materials. You are responsible for ensuring generated content complies with platform-specific terms of service and applicable advertising regulations.

5.4 Restrictions

You may not:

• Resell access to the Service or generated templates as standalone products
• Create competing Quick Template generation services using our platform
• Reverse engineer or attempt to extract the Service's underlying AI models
• Share account credentials with unauthorized users
• Use automated systems to generate templates in bulk beyond reasonable business use

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and data compilations, is owned by us or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Trademarks

Our name, logo, "Quick Template", and all related names, logos, product and service names, designs, and slogans are our trademarks. You may not use these marks without our prior written permission.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become our property, and we may use them without restriction or compensation to you for any purpose, including developing and improving our products.

7. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that violates these terms. Prohibited activities include but are not limited to:

• Generating content that is defamatory, obscene, hateful, discriminatory, or promotes violence
• Creating misleading, fraudulent, or deceptive marketing materials
• Violating intellectual property rights, including unauthorized use of trademarks or copyrighted materials in prompts
• Attempting to generate content depicting identifiable individuals without their consent
• Creating content that violates social media platform policies or advertising regulations
• Using the Service to spam, harass, or manipulate social media algorithms
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting the Service's operation or performance
• Using the Service for political disinformation or election interference
• Generating content that facilitates illegal activities

We reserve the right to investigate violations and take appropriate action, including account suspension, termination, and reporting to law enforcement authorities.

8. AI-Generated Content

8.1 Content Accuracy

AI-generated templates are created based on your prompts and selected parameters. We do not guarantee the accuracy, quality, or suitability of generated content for any specific purpose. You are responsible for reviewing and approving all generated content before use.

8.2 Content Variations

Due to the nature of AI generation, results may vary even with identical inputs. We do not guarantee reproducibility of specific designs or exact adherence to prompts.

8.3 Platform Compliance

You are solely responsible for ensuring generated templates comply with the terms of service, community guidelines, and advertising policies of social media platforms where you intend to use them (Instagram, Facebook, Twitter/X, LinkedIn, Pinterest, etc.).

8.4 Brand Guidelines

When generating templates for client work, you are responsible for ensuring compliance with client brand guidelines and obtaining necessary approvals before deployment.

9. Data Privacy & Security

9.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

9.2 Data Storage

Generated templates and your generation history are stored in our database. You can access, download, and manage your templates through the "My Templates" section of your account.

9.3 Data Security

We implement industry-standard security measures to protect your data, including secure servers, encrypted connections, and access controls. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.

9.4 Third-Party Processing

Your prompts and generated content may be processed by third-party AI services. These providers have their own privacy policies and data handling practices. We select reputable providers and contractually require appropriate data protection measures.

9.5 Data Retention

We retain your generation history and templates for the duration of your active account. Upon account deletion, your data will be removed within 30 days, though backup copies may persist for a reasonable period as required for business continuity.

10. Termination

10.1 Termination by You

You may cancel your account at any time through your account settings. Cancellation takes effect at the end of your current billing period if you have an active subscription. Unused credits are forfeited upon account cancellation (non-refundable).

10.2 Termination by Us

We reserve the right to suspend or terminate your account at our discretion for violations of these terms, non-payment, fraudulent activity, abuse of the Service, or extended periods of inactivity. We will provide notice when possible, but immediate termination may occur for severe violations.

10.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We recommend exporting any templates you wish to retain before canceling your account. We may delete your account data after a grace period following termination.

10.4 Survival

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

11. Warranties & Disclaimers

11.1 Service Availability

While we strive to maintain high availability and performance, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Generation times and service availability may vary based on demand and third-party API performance.

11.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements or expectations
• Generated templates will be suitable for any particular use case
• AI-generated content will be accurate, appropriate, or legally compliant
• The Service will be compatible with all devices or browsers
• Errors or defects will be corrected

11.3 Third-Party Services

The Service may integrate with third-party APIs and services. We do not endorse or assume responsibility for any third-party content, products, or services. Your use of third-party integrations is at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or generated templates
• Cost of procuring substitute services
• Damage to business reputation or goodwill
• Claims from third parties regarding generated content
• Unauthorized access or use of your account
• Service interruptions or performance issues

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless our company, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these terms
• Your violation of any rights of another party, including intellectual property rights
• Content you generate or prompts you submit
• Your use of generated templates in marketing campaigns or commercial applications
• Claims that generated content is defamatory, violates privacy rights, or causes harm
• Any breach of your representations and warranties in these terms

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you will cooperate fully with us in asserting any available defenses.

14. Modifications

We reserve the right to modify these terms at any time. When we make material changes, we will notify you by email or through a prominent notice in the Service at least 30 days before the changes take effect.

14.2 Acceptance of Changes

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of the Service and cancel your account.
